These Listing Terms ("Terms") govern the relationship between TDKG PTE. LTD. ("we" or "us"), operator of "Sankyu" (the "Service"), and the businesses operating restaurants that are listed on the Service or use its features for restaurants (the restaurant dashboard and reservation handling) (each a "Restaurant"). A Restaurant agrees to these Terms by applying for a listing, applying to manage its listing (an ownership claim), or using the restaurant dashboard.
1. Listing
- We may list basic information about restaurants (name, location, genre and so on) based on publicly available information.
- By making an ownership claim, a Restaurant can manage its own listing. We check that the applicant is genuinely connected with the restaurant.
- A Restaurant may ask for its listing to be removed at any time.
2. Restaurant account
A Restaurant is responsible for keeping its dashboard account secure and must not let anyone else use it.
3. Listing content
- A Restaurant must keep the information it enters (opening hours, seats, plans, prices, photos and so on) accurate and up to date.
- A Restaurant guarantees that it holds the necessary rights to the photos, text and other material it uploads.
- A Restaurant grants us a free licence to use that material (including translating, editing and displaying it) for the Service and for promoting it.
4. Taking reservations
- A Restaurant accepts reservations according to the seats and conditions it has set on the Service, and honours confirmed reservations in good faith.
- If a Restaurant has to change or cancel a reservation, it must do so promptly through the Service and do its best to avoid disadvantage to the guest.
- A Restaurant may use guests' personal information received through the Service only as needed to fulfil the reservation.
5. Referral fee
- For guests who visit through a reservation made on the Service, the Restaurant pays us a referral fee of JPY 150 (excluding tax) per visiting guest. Consumption tax is added when we invoice.
- The Restaurant confirms the number of guests who visited in the restaurant dashboard. If a reservation is not confirmed within 7 days after the visit date, the guests are treated as having visited in the number reserved.
- Reservations the Restaurant reports as no-shows, and cancelled reservations, are not subject to the referral fee.
- Referral fees are totalled at the end of each month, and we issue an invoice for the previous month in the following month. The Restaurant pays by the due date on the invoice (30 days from issue), using the method shown on the invoice (such as credit card).
- We may waive or reduce referral fees, for example during a campaign.
6. Late payment
If a Restaurant does not pay the referral fee by the due date, we may stop it taking reservations or suspend its listing.
7. Prohibited conduct
A Restaurant must not:
- enter false information, or show prices or content that differ from reality;
- post reviews of itself through people connected with it, or offer benefits on condition that a review is posted;
- avoid the referral fee, for example by treating a reservation made through the Service as one made elsewhere;
- use guests' personal information for any other purpose;
- interfere with the operation of the Service or otherwise break the law.
8. Suspension and termination
- If a Restaurant breaches these Terms, we may stop it taking reservations or suspend its listing.
- A Restaurant may ask at any time to stop taking reservations or to have its listing removed. Reservations confirmed before then must still be honoured, and their referral fees paid, under these Terms.
9. Limitation of liability
Except in cases of our intent or gross negligence, we are not liable for damage suffered by a Restaurant through use of the Service. Where we are liable, our liability is limited to the referral fees we received from that Restaurant in the month the damage occurred.
10. Changes to these Terms
We may change these Terms when necessary. We will notify Restaurants at least 30 days before any change to the referral fee or any other change to their disadvantage takes effect.
11. Governing law, jurisdiction and language
- These Terms are governed by the laws of Japan, and the Tokyo District Court has exclusive jurisdiction as the court of first instance for disputes about them.
- The Japanese version of these Terms is the official text.
