These Terms of Use ("Terms") set out the conditions for using "Sankyu" (the "Service"), a restaurant information and reservation service operated by TDKG PTE. LTD. ("we" or "us"). By using the Service, you ("User") agree to these Terms.

1. Definitions

1. "Member" means a person who has agreed to these Terms and registered with the Service.
2. "Restaurant" means a restaurant whose information is listed on the Service.
3. "Reservation" means a request by a Member, made through the Service, for a table at a Restaurant.
4. "Booking Request" means a request by a Member for us to ask a Restaurant that does not take online reservations to reserve a table on the Member's behalf.

2. Registration

1. You must register yourself, with accurate and up-to-date information.
2. Persons under 16 may not register.
3. We may refuse a registration from anyone who has previously breached these Terms, or any registration we consider inappropriate.

3. Your account

You are responsible for keeping your email address and password secure and must not let anyone else use them. Actions taken through your account are treated as yours.

4. Reservations

1. The contract for the meal is made between the Member and the Restaurant. We accept and arrange reservations; we are not a party to the provision of food or drink.
2. A reservation is confirmed when the Service shows "Your reservation is confirmed" and sends a confirmation email. A reservation that needs the Restaurant's approval is confirmed when the Restaurant approves it.
3. With a Booking Request we ask the Restaurant on your behalf; we do not guarantee that a reservation will be made. If it cannot be made, we will tell you.
4. A reservation may be changed or cancelled for reasons on the Restaurant's side, such as an unexpected closure or the Restaurant being full.

5. Changes and cancellations

1. Please change or cancel a reservation from its details page on the Service.
2. If the Restaurant has a cancellation policy, you must follow it. Any cancellation fee is set and may be charged by the Restaurant.
3. Not showing up without notice (a "no-show") is prohibited.

6. Fees

1. Registration, reservations and Booking Requests are currently free of charge. You pay for your meal directly to the Restaurant.
2. If we introduce paid services for Members, we will show the price and payment method on screen in advance and provide them only with your agreement.

7. Listed information

Restaurant information is based on information provided by Restaurants and on publicly available information. We do not guarantee that it is accurate or current; please check with the Restaurant before your visit. To ask for information to be removed or corrected, use the link for corrections and removal requests on the Restaurant's page.

8. Posts and Sankyu Points

1. You may post reviews, photos and videos ("Posts") only about Restaurants you have actually visited, and only content you took or wrote yourself. You keep the copyright in your Posts.
2. You grant us, and anyone we authorise, a free, non-exclusive, worldwide and perpetual licence to use your Posts (including translating, resizing, cropping or otherwise editing and displaying them) for the Service, for promoting it (including advertising and social media) and for promoting the Restaurant the Post is about, and you agree not to assert your moral rights against us or them. We will not alter the content of images with generative AI or similar tools.
3. We remove location data and other embedded information from photos and videos before storing them. You are responsible for respecting the rights of anyone who appears in your Posts.
4. We may hide or delete, without prior notice, Posts that do not follow our guidelines, Posts whose visit can no longer be confirmed and Posts that are reported. You may delete your own Posts at any time.
5. We give Sankyu Points for Posts that meet our conditions. Points do not depend on whether a review is positive or negative, and Posts that earned points are labelled as such on the Service.
6. Sankyu Points are issued by us free of charge. They cannot be exchanged for cash or other property and cannot be transferred. They expire one year after they are given. Limits, uses and conditions are set out on the Service.
7. If a Post is hidden or deleted, or its visit can no longer be confirmed, we may cancel the points given for it. If you obtain points improperly, we may cancel all of your points and suspend your account.

9. Prohibited conduct

Users must not:

1. register or reserve using false information;
2. make reservations with no intention of visiting, resell reservations, or otherwise misuse them;
3. post about a Restaurant you are connected with, or post in exchange for payment or benefits from a Restaurant or any other third party (Sankyu Points we give are not included);
4. post about a Restaurant you have not visited, post photos or videos taken by someone else, or reuse the same content;
5. interfere with the operation of the Service, access it without authorisation, or collect information from it in bulk;
6. act against the law or public order and morals;
7. do anything else we reasonably consider inappropriate.

10. Suspension and leaving

1. If a Member breaches these Terms, we may suspend their use of the Service or cancel their registration without prior notice.
2. Members may leave at any time by the method we provide.

11. Changes to or suspension of the Service

We may change or suspend all or part of the Service for maintenance, faults or other unavoidable reasons.

12. Limitation of liability

1. We are not responsible for the food or service provided by Restaurants, or for disputes between Members and Restaurants, although we will help resolve them where appropriate.
2. Except in cases of our intent or gross negligence, our liability is limited to direct and ordinary damages.
3. Nothing in this section excludes any liability to consumers that cannot be excluded under applicable law.

13. Personal information

We handle personal information in accordance with our Privacy Policy.

14. Changes to these Terms

We may change these Terms when necessary. We will announce the new Terms and the date they take effect on the Service in advance. If you use the Service on or after that date, you are treated as having agreed to the change.

15. Governing law, jurisdiction and language

1. These Terms are governed by the laws of Japan. This does not affect mandatory consumer rights under the laws of the country where you live.
2. The Tokyo District Court has exclusive jurisdiction as the court of first instance for disputes about the Service.
3. The Japanese version of these Terms is the official text. Versions in other languages are translations for reference.
